End-User License Agreement

This End-User License Agreement ("EULA") is a legal agreement between you ("User," "you," or "your") and ION Diagnostics ("we," "us," or "our"), located at 30600 Telegraph Rd, Suite 1375, Bingham Farms, MI 48025, governing your use of our software, online platforms, patient portals, billing interfaces, or other digital services (collectively, the "Services") accessible through our website at https://www.iondiagnostics.com or related applications. By accessing or using the Services, you agree to be bound by this EULA. If you do not agree to these terms, you may not use the Services.

1. Scope of License

1.1 Grant of License: ION Diagnostics grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for personal, non-commercial purposes, solely in connection with obtaining diagnostic services, viewing results, or managing payments, subject to the terms of this EULA.
1.2 Restrictions: You may not:
- Copy, modify, distribute, sell, or sublicense the Services or any part thereof.
- Reverse engineer, decompile, or disassemble any software components of the Services, except as permitted by applicable law.
- Use the Services for any unlawful purpose or in violation of any applicable laws, including the Health Insurance Portability and Accountability Act (HIPAA).
- Share login credentials or allow unauthorized access to the Services.
- Use the Services to store, transmit, or process malicious code, viruses, or harmful content.

2. User Responsibilities

2.1 Account Security: You are responsible for maintaining the confidentiality of any account credentials (e.g., usernames, passwords) used to access the Services. You must notify ION Diagnostics immediately at info@iondiagnostics.com or (248) 720-4080 X-111 if you suspect unauthorized access to your account.
2.2 Accurate Information: You agree to provide accurate, complete, and current information when using the Services, including personal, payment, or health-related data required for diagnostics or billing.
2.3 Compliance with Laws: You agree to use the Services in compliance with all applicable federal, state, and local laws, including HIPAA and Payment Card Industry Data Security Standard (PCI DSS) requirements.

3. Intellectual Property

3.1 Ownership: All content, software, and materials within the Services, including but not limited to text, graphics, logos, and diagnostic reports, are the property of ION Diagnostics or its licensors and are protected by copyright, trademark, and other intellectual property laws.
3.2 Limited Use: You may not reproduce, distribute, or create derivative works from any content provided through the Services without prior written consent from ION Diagnostics.

4. Privacy and Data Protection

4.1 Privacy Policy: Your use of the Services is subject to our Privacy Policy (available at https://www.iondiagnostics.com/privacy_policy), which governs the collection, use, storage, and disclosure of your personal and health information. By using the Services, you consent to the practices described in the Privacy Policy.
4.2 HIPAA Compliance: As a provider handling protected health information (PHI), ION Diagnostics complies with HIPAA regulations. Any PHI provided through the Services will be handled in accordance with applicable laws.
4.3 Payment Processing: Payment information provided through the Services is processed via Intuit QuickBooks, a HIPAA-compliant and PCI DSS-compliant platform. We do not store full credit or debit card numbers locally. For more details, refer to QuickBooks’ privacy practices at https://quickbooks.intuit.com/global/privacy/.

5. Third-Party Services

5.1 Third-Party Integration: The Services may integrate with third-party platforms, such as QuickBooks for payment processing or Catalyst Diagnostic Laboratory for diagnostic services. These third parties have their own terms and privacy policies, and your use of their services is subject to those terms.
5.2 No Endorsement: ION Diagnostics does not endorse or assume responsibility for third-party services, websites, or content linked through the Services.

6. Termination

6.1 Termination by User: You may stop using the Services at any time.
6.2 Termination by ION Diagnostics: We may suspend or terminate your access to the Services at our discretion, with or without notice, if you violate this EULA, engage in unlawful activity, or for any other reason deemed necessary to protect our operations or other users.
6.3 Effect of Termination: Upon termination, your license to use the Services will cease, and you must discontinue all access. Any data retention will comply with our Privacy Policy and applicable laws.

7. Disclaimers and Limitation of Liability

7.1 No Warranty: The Services are provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. ION Diagnostics does not guarantee the accuracy, completeness, or availability of the Services.
7.2 Limitation of Liability: To the maximum extent permitted by law, ION Diagnostics, its affiliates, and partners will not be liable for any indirect, incidental, consequential, or punitive damages arising from your use of the Services, including but not limited to loss of data, profits, or health-related outcomes. Our total liability shall not exceed the amount paid by you, if any, for the Services.
7.3 Diagnostic Information: The Services may provide access to diagnostic results or health-related information. Such information is for informational purposes only and should not be considered medical advice. Consult a qualified healthcare provider for medical decisions.

8. Indemnification

You agree to indemnify and hold harmless ION Diagnostics, its affiliates, officers, employees, and partners from any claims, losses, or damages, including reasonable attorneys’ fees, arising from your use of the Services, violation of this EULA, or infringement of any third-party rights.

9. Governing Law and Dispute Resolution

9.1 Governing Law: This EULA is governed by the laws of the State of Michigan, United States, without regard to its conflict of law principles.
9.2 Dispute Resolution: Any disputes arising under this EULA shall be resolved through good-faith negotiation. If unresolved, disputes will be subject to the exclusive jurisdiction of the state or federal courts located in Oakland County, Michigan.

10. Changes to this EULA

ION Diagnostics may update this EULA from time to time. We will notify you of material changes by posting the updated EULA on our website (https://www.iondiagnostics.com) or through the Services. Your continued use of the Services after such changes constitutes your acceptance of the revised EULA.

11. Children’s Privacy

The Services are not intended for use by minors under the age of 18 without the consent of a parent or legal guardian. We do not knowingly collect personal information from minors without such authorization.
